Bain Capital to Acquire PowerSchool for $5.6 Billion

PowerSchool, a leading provider of cloud-based software for K-12 education, has announced its acquisition by Bain Capital in a deal valued at $5.6 billion. Under the agreement, PowerSchool stockholders will receive $22.80 per share in cash, representing a 37% premium over the unaffected share price.

The company, with over 55 million students and 17,000 customers globally, will continue its operations as a standalone entity, focused on leveraging resources for growth and innovation. PowerSchool's innovative solutions have garnered the support of Bain Capital, Vista Equity Partners, and Onex Partners, with the transaction expected to close in the second half of 2024. Following the acquisition, PowerSchool will transition from a publicly listed company to a privately held one.
