Honeywell has announced that it will acquire Johnson Matthey's Catalyst Technologies business for £1.8 billion in an all-cash transaction. This move is anticipated to enhance Honeywell's Energy and Sustainability Solutions (ESS) business segment and provide significant additional benefits through cost synergies.

The deal will broaden Honeywell's role as a technology provider of critical energy and extend its portfolio to offer customers comprehensive solutions for the production of lower emission, critical fuels. It is expected to be accretive to earnings in the first year and is set to close by the first half of 2026, subject to customary closing conditions and regulatory approvals.

This acquisition is part of Honeywell's strategic actions to drive organic growth and simplify its portfolio, which includes planned spin-offs of its Aerospace Technologies and Advanced Materials businesses. The company aims to exceed its commitment to deploy at least $25 billion towards high-return capital expenditures, dividends, opportunistic share purchases, and accretive acquisitions through 2025.
