Samsung Biologics, a leading contract development and manufacturing organization (CDMO), has announced the launch of an all-cash public tender offer to acquire 100% of the fully diluted share capital of PolyPeptide Group AG, a global CDMO specializing in peptide-based active pharmaceutical ingredients. The offer involves PolyPeptide shareholders receiving CHF 44.31 in cash for each share, amounting to approximately CHF 1.46 billion. The transaction is expected to be completed towards the end of 2026, subject to customary offer conditions and regulatory approvals.

PolyPeptide's Board of Directors unanimously recommends that shareholders accept the tender offer, citing its attractiveness and potential for growth as part of Samsung Biologics' global CDMO platform. The acquisition aims to expand Samsung Biologics' capabilities into peptide therapeutics, capitalizing on the surging global demand for obesity treatments and other peptide-based therapies. Additionally, the transaction is set to enhance operational excellence, unlock growth opportunities, and strengthen Samsung Biologics' position as a leading global multi-modality CDMO. Samsung Biologics also plans to bring together PolyPeptide's specialized peptide expertise and highly experienced team to further enhance its capabilities.

The offer by Samsung Biologics is conditioned upon at least two-thirds of all PolyPeptide shares being tendered into the offer at the end of the offer period, along with other customary offer conditions. Upon successful completion of the transaction, Samsung Biologics intends to pursue a squeeze-out of any remaining minority shares and to delist PolyPeptide from the SIX Swiss Exchange, making it a wholly owned subsidiary of Samsung Biologics. J.P. Morgan is serving as the exclusive financial advisor to Samsung Biologics for this acquisition.

The transaction is expected to bring about modality expansion into peptides, broaden geographic reach, and enhance global operational footprint. It represents a compelling opportunity for PolyPeptide to accelerate strategic ambitions and create a stronger global partner for customers. Samsung Biologics, with a combined biomanufacturing capacity of 785,000 liters and a total global manufacturing capacity of 845,000 liters, aims to advance diverse modalities including multispecific antibodies, fusion proteins, antibody-drug conjugates, and mRNA therapeutics.

The company's global manufacturing and commercial network spans Korea, the U.S., and Japan. Samsung Biologics is committed to delivering safe, high-quality biomedicines and making sustainable business decisions for the betterment of society and global health.
